Terms of Service

These Terms of Service (“Terms”) govern access to and use of Algoricum’s front-desk automation service (the “Service”) by the practice or organization that registers for it (“you”). By using the Service you agree to these Terms.

1. The Service

Algoricum provides a set of software agents that answer calls, send messages, book and follow up on appointments, and surface work for dental and medical practices, on the practice’s own phone number and inside the systems it already uses. Features may change over time as the Service improves.

2. Eligibility and accounts

You must be a healthcare practice or an authorized representative of one, and able to enter into these Terms. You are responsible for the accounts of the staff you invite, for keeping login credentials secure, and for the activity that happens under your account. Access and permissions are managed through the roles you assign.

3. Your data and HIPAA

You retain ownership of the data you connect or upload. You grant us the rights needed to process that data to provide the Service. Where the Service processes protected health information, you are the covered entity and Algoricum is your business associate; that processing is governed by the Business Associate Agreement (BAA) between us, which is incorporated by reference. If these Terms and the BAA conflict on the handling of PHI, the BAA controls.

You will not misuse the Service, including by attempting to access data that is not yours, interfering with its operation, reverse-engineering it, or using it to violate the rights of any person. We may suspend access to protect the Service, our other customers, or patients.

7. Intellectual property

The Service, including its software and design, is owned by Algoricum. These Terms do not transfer any of our intellectual property to you beyond the right to use the Service. Your data remains yours.

8. Disclaimers

The Service is provided on an “as is” and “as available” basis. Algoricum supports your front desk but does not replace your clinical judgment or your obligation to supervise patient communications. To the fullest extent permitted by law, we disclaim warranties not expressly stated in these Terms.

9. Limitation of liability

To the fullest extent permitted by law, Algoricum will not be liable for indirect, incidental, or consequential damages. Our total liability arising out of the Service will be limited as set out in the final version of these Terms. [ Liability cap to be set with counsel. ]

10. Termination

Either party may terminate as described in your order or these Terms. On termination, outreach is switched off and your account is retired. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, and limitation of liability.

11. Governing law

These Terms are governed by the laws of [ add governing jurisdiction ], without regard to conflict-of-laws rules.

12. Changes

We may update these Terms as the Service changes and will revise the date above. Material changes will be communicated to you, and continued use after they take effect means you accept them.
